02 — Scope of Work

2.1 Brand System Migration

Logo, color, type, components, and motion — rebuilt as one system and applied site-wide.

  • Lighthouse performance ≥ 80 on the Home and Solar pages on mobile

7.2 WP Care Plan & Change Orders

09 — Standing Terms

Standing terms.

IP & Ownership
On final payment, all deliverables produced under this engagement — code, design files, copy edits, and supporting assets — transfer to HQ Energy. BearPlex retains the right to reference the work in portfolio and case-study material unless HQ Energy opts out in writing within 30 days of go-live.
Confidentiality
Each party will hold in confidence non-public information shared during the engagement — credentials, customer data, internal communications, and unreleased brand material — and will not share it with third parties except as needed to deliver the work.
Governing Law
This proposal, on signature, becomes a binding statement of work issued by Odus Studio LLC (BearPlex), a Texas limited liability company. Any disputes are governed by the laws of the State of Texas, USA. The October 2025 master engagement terms between the parties remain in force; this document is the controlling scope and price for this engagement.
Project Wind-down
If either party needs to step away from the engagement, this can be confirmed in writing at any time. Work completed up to that date is invoiced pro-rata, and the corresponding deliverables transfer to HQ Energy on payment.

Ready to approve.

Reply "Approved" via WhatsApp or email to confirm the terms below. Stage 01 invoice issued the same day. Design begins within 24 hours of deposit clearing.
